Terms & Conditions
NEW ACCOUNTS: A completed retailer application must be submitted prior to any account being approved. New accounts will be opened at Coton Colors’ sole discretion based upon market conditions and other factors deemed relevant by Coton Colors. Each individual resale location must be approved by Coton Colors.
CHANNELS OF SALES: Coton Colors does not allow retailers to sell online, except with explicit written permission. Coton Colors may only be sold direct to consumers and not to third party distributors. Retailers may not sell on any websites without written consent from Coton Colors. All product sales on Amazon.com are prohibited.
ESTABLISHED ACCOUNTS: Minimum account maintenance is $1000 annually. If annual volume is not reached the account will become inactive.
INACTIVE ACCOUNTS: Previously established accounts that have not met the required minimum annual purchase will become inactive. To be reinstated, inactive accounts will be subject to reassessment and may be reopened at Coton Colors’ sole discretion.
PRICING: All prices are wholesale and for the domestic trade only.
MINIMUM ADVERTISED PRICE (MAP) POLICY: Resellers are required to maintain MAP or higher in all advertising, print, web and media exposure. The Coton Colors MAP Policy and pricing can be found on the wholesale website here.
SALES AND PROMOTIONS: Coton Colors allows sales and promotions during specific events and pre-determined dates. Refer to coton-colorswholesale.com for events and dates.
PAYMENT TYPE: All major credit cards are accepted. Merchandise and applicable freight charges will be invoiced at time order is shipped. We require pre-payment by credit card for the first order, after which Net 30 terms are available upon credit approval by our trade credit partner, Atradius. All credit applications are $25 for processing. All receivables are insured and processed by a third-party factoring company. We do not accept C.O.D. orders. Customers will be emailed an invoice once an order has shipped.
PAYMENT TERMS: We reserve the right at any time to suspend or change credit terms provided if your account standing becomes past due. A failure to pay invoices when due may incur late fees and make all subsequent invoices immediately due and payable irrespective of terms. Additionally, Coton Colors may withhold all subsequent deliveries until the account is settled in full. For any invoice inquiries and requests contact AR@coton-colors.com. A $30 fee will be assessed for returned checks.
ORDER PROCESSING TIME: For orders in stock, processing time is 2-5 business days. Changes/edits to an order must be made within 10 days of the requested ship date. Any changes requested less than 10 days prior to requested ship date will be subject to a 20% restocking fee.
BACKORDERS: If an item is not in stock, it will go on backorder and be sent out automatically when restocked. The buyer is responsible for canceling backorders if the item is no longer required. For order edits, please contact your rep, account manager or email@example.com. Refused merchandise will incur freight and a 20% restocking fee.
SHIPPING: U.S. orders ship via FEDEX Ground. Freight charges apply and will be added to invoice upon processing. Please provide any special shipping instructions or guidelines at the time the order is placed.
CLAIMS & RETURNS: All claims for exchanges or returns must be made within 10 days of receipt of goods with photographic evidence. Merchandise purchased for future use must be inspected upon receipt. Failure to make a claim within the stated time constitutes acceptance of the goods as is. No returns are accepted without authorization from a Coton Colors representative. Retailer must submit the Coton Colors damage claim form and photos through the Coton Colors wholesale website here in order to file a claim. Retailer is responsible for reporting/filing claims on behalf of their customer.
DISPLAY FIXTURES: Only Coton Colors or Happy Everything!™ products may be displayed on any branded Coton Colors or Happy Everything!™ display fixtures.By submitting request for account approval and purchasing and receiving Coton Colors products, you indicate that you have read and fully understand all Coton Colors Terms & Conditions, you agree to them and intend to be fully bound by them.
